Terms of Service

1. Acceptance of Terms

By accessing or using Cynkli ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including the mobile app, desktop app, VS Code extension, and any related services. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cynkli regarding your use of the Service.

2. Eligibility

You must be at least 13 years of age (or 16 in jurisdictions where GDPR applies) to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Cynkli is a developer productivity tool that allows you to control your desktop VS Code environment from your mobile device. The Service enables you to:

  • Send voice and text commands from a mobile app that are executed on your desktop
  • Route commands through AI providers including Claude Code (Anthropic), GitHub Copilot, and OpenAI Codex
  • Execute VS Code built-in commands remotely
  • Capture and view screenshots of your desktop
  • View a real-time live stream of your desktop screen (Live View)
  • Remotely control your desktop via mouse clicks, keyboard input, and text entry
  • Pair your mobile and desktop devices via QR code

4. Account Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You may not share your account or use another user's account without permission
  • One person may not maintain more than one account

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Execute malicious code or commands intended to harm systems or data
  • Attempt to gain unauthorized access to other users' devices or data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for any purpose that is harmful, fraudulent, or deceptive
  • Transmit malware, viruses, or other harmful content through the Service
  • Use Live View or remote control features to monitor or control devices without the knowledge and consent of their owners
  • Use the Service to access or control systems you are not authorized to use
  • Circumvent any security measures or access controls of the Service

6. Remote Control and Live View

The Service allows you to remotely view your desktop screen in real time and send mouse clicks, keyboard input, and text to your desktop from your mobile device. By using these features, you acknowledge and agree that:

  • All remote commands and input actions are executed with your local user permissions on your desktop
  • You are solely responsible for all actions performed through remote control, including any unintended modifications to files, settings, or systems
  • Desktop screen content is transmitted through our servers for routing purposes - you should ensure no sensitive information is visible on screen during Live View sessions
  • You will only use remote control features on devices you own or have explicit authorization to control
  • Cynkli is not responsible for any damage, data loss, or unintended consequences resulting from remote command execution or input

7. Third-Party AI Providers

The Service integrates with third-party AI providers. Your use of these providers through Cynkli is also subject to their respective terms of service:

Cynkli is not responsible for the availability, accuracy, or content of responses generated by these third-party AI providers. AI-generated responses may be incorrect, incomplete, or inappropriate. You are responsible for reviewing and validating all AI-generated output.

8. Device Pairing and Security

The Service uses QR code-based pairing to connect your mobile and desktop devices. You are responsible for ensuring that pairing is performed securely and that unauthorized parties do not gain access to your pairing codes. Pairing codes are single-use and time-limited. Commands executed through the Service run on your local machine with your local permissions.

9. Screenshots and User Content

The Service allows you to capture, store, and view screenshots of your desktop, and to upload a profile avatar. You are responsible for ensuring that:

  • Screenshots do not contain sensitive information you do not wish to store or transmit
  • You have the right to capture and store the content shown in your screenshots
  • Uploaded content (screenshots, avatars) does not violate any third-party rights

You can delete your screenshots at any time from within the app.

10. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Cynkli and protected by intellectual property laws. You retain ownership of any code, content, or data you create or process through the Service. By using the Service, you grant us a limited license to process and transmit your content solely for the purpose of providing the Service.

11. Open Source Software

The Service incorporates open source software components, which are subject to their respective licenses. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

12. Pricing and Payment

The Service is currently provided free of charge. We reserve the right to introduce paid features or subscription plans in the future. If we do, we will provide advance notice and clearly communicate pricing, billing terms, and any auto-renewal conditions before charging you. You will not be charged without your explicit consent.

13. Account Deletion

You may delete your account at any time from within the app (Settings > Delete Account). Upon deletion, all your personal data, commands, sessions, screenshots, device pairings, and profile information are permanently removed within 30 days. See our Privacy Policy for details.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED RESPONSES MAY BE INACCURATE, AND COMMANDS EXECUTED THROUGH THE SERVICE MAY MODIFY YOUR FILES AND SYSTEM - USE AT YOUR OWN DISCRETION.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CYNKLI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGE TO YOUR SYSTEMS ARISING FROM YOUR USE OF THE SERVICE. THIS INCLUDES ANY DAMAGE CAUSED BY COMMANDS EXECUTED THROUGH THE SERVICE, REMOTE CONTROL ACTIONS, OR AI-GENERATED OUTPUT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM (OR $100 IF YOU HAVE NOT PAID US ANYTHING).

16. Indemnification

You agree to indemnify, defend, and hold harmless Cynkli and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

17. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice where practicable. You may stop using the Service at any time by deleting your account. Upon termination, your right to use the Service will immediately cease, but these Terms will continue to apply to your prior use.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Delaware, USA, unless otherwise required by applicable consumer protection laws in your jurisdiction.

19. Dispute Resolution

Before filing any formal legal action, you agree to first contact us at our contact form and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, either party may pursue formal resolution in accordance with the governing law provisions above.

20. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not use or export the Service in violation of U.S. export laws or the laws of any other jurisdiction.

21. Force Majeure

Cynkli shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, internet outages, power failures, or third-party service disruptions.

22. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by updating the "Last updated" date and through in-app notifications or email. Continued use of the Service after changes constitutes acceptance. If you do not agree with the updated Terms, discontinue use of the Service.

23. General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cynkli regarding the Service.
  • Waiver: Our failure to enforce any right or provision will not be considered a waiver of those rights.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction (e.g., in connection with a merger or acquisition).
